Overview

Fondos Technologies Private Limited (“FondosTech,” “Company,” “we,” “us,” or “our”) operates the website fondostech.in, a B2B InsurTech SaaS platform used by insurance brokers, POSP networks, banks, fintechs, and NBFCs to digitize quote generation, POSP management, employee management, claims management, and policy issuance.

By visiting fondostech.in and accessing the information, resources, and tools we provide (the “Resources”), you understand and agree to accept and adhere to these Terms and Conditions (“Terms”), together with our Privacy Policy. These Terms are effective from the time you visit our website or use the Services. We may change or modify these Terms at any time, at our discretion; your continued access or use of the Services signifies your acceptance of the updated Terms.

01Eligibility

The Services are intended for insurance brokers, POSP networks, banks, fintechs, NBFCs, and other authorized entities operating in the insurance distribution ecosystem. By using the Services, you represent that you are legally authorized to enter into binding contracts on behalf of your organization, that your organization holds any IRDAI license or registration required to distribute or broker insurance products through the Services, and that the information you provide is accurate, current, and complete.

02Using the Services

By accessing the Resources, either directly or indirectly, you agree to use them only for the purposes intended, as permitted by these Terms and applicable law, regulations, and generally accepted online practices. In particular:

• You may be required to provide information about yourself and your organization (such as name, company details, contact information, and IRDAI credentials). You agree that any information you provide will always be accurate, correct, and updated.
• You are responsible for maintaining the confidentiality of any login credentials associated with your account, and for all activity occurring under your account.
• Accessing or attempting to access any of our Resources by any means other than through the interfaces we provide is strictly prohibited, including through automated, unethical, or unconventional means.
• Engaging in any activity that disrupts or interferes with our Resources, including the servers or networks to which they are connected, is strictly prohibited.
• Attempting to copy, duplicate, reproduce, sell, trade, or resell our Resources, in whole or in part, is strictly prohibited without our prior written consent.
• You are solely responsible for any consequences, losses, or damages that we may directly or indirectly incur due to unauthorized activities conducted by you or your Authorized Users, and may incur civil or criminal liability for such conduct.

03Subscription Term and Fees

• Access to the Services is granted for the Subscription Term specified in the applicable Order Form, and, unless stated otherwise, renews automatically for successive periods at then-current pricing unless either party gives written notice of non-renewal at least 30 days before the end of the then-current term.
• Fees are as set out in the applicable Order Form, exclusive of applicable taxes (including GST). Invoices not disputed in good faith within 15 days are deemed accepted.
• Non-payment of undisputed fees may result in suspension of access after written notice and a cure period of 10 days.

04Customer Data and Platform Use

• Customer Data (including policyholder, quote, claims, and employee/POSP data) entered into the platform remains your property, subject to our Privacy Policy and any applicable Data Processing Agreement.
• You are solely responsible for ensuring Customer Data is collected and processed lawfully, including obtaining any consents required from policyholders or end customers.
• We may access Customer Data solely as necessary to provide support, maintain the Services, ensure security, and comply with legal obligations, and will not use it to train third-party AI models without your prior written consent, except as necessary to operate the Services.
• Upon termination, we will make Customer Data available for export for 30 days after which it may be deleted in accordance with our data retention policy, subject to legal or regulatory retention requirements.

05Intellectual Property

All content and materials available through the Services, including but not limited to text, graphics, the FondosTech name, product names (FT POSP Sure, FT D2C Insure, FT Embedded Insure, FT Lending Insure, FT Digital Claims, FT EB Sure, FT Reconciliation, FT Payin/Payout, FT Compliance), source code, design, and logos, are either the intellectual property of FondosTech or used under license, and are protected by applicable copyright and trademark law. Any unauthorized reproduction, distribution, display, reverse engineering, or transmission of Services content is strictly prohibited unless specifically authorized by FondosTech in writing. These Terms grant you only a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes during the Subscription Term; no other rights are implied.

Feedback you voluntarily provide regarding the Services may be used by FondosTech without restriction or obligation to you, provided it does not disclose your confidential or proprietary information.

06Third-Party Services and Links

The Services may integrate with, or link to, third-party tools and platforms (CRM systems, analytics providers, communication tools, insurer/POSP networks). We do not control, and are not responsible for, the content, practices, or availability of these third-party services. Interaction with any linked third-party site is subject to that site’s own terms and privacy policy, and we encourage you to review them before proceeding.

07Disclaimers and Limitation of Warranties

By using the Services, you understand and agree that the Services are provided “as is” and “as available.” We do not represent or warrant that:

• Use of the Services will meet your needs or requirements;
• Use of the Services will be uninterrupted, timely, secure, or free from errors;
• Any information obtained through the Services will be entirely accurate or reliable.

FondosTech is a technology platform and does not act as an insurer, broker, or underwriter. Quotes, comparisons, and recommendations generated through the Services are based on data made available by insurers and other third parties; we do not guarantee the accuracy, suitability, pricing, or availability of any specific insurance product, and final policy issuance remains subject to the underwriting norms and discretion of the relevant insurer. Compliance-related tools (e.g., FT Compliance) assist your operations and do not constitute legal or regulatory advice; you remain solely responsible for your own compliance with IRDAI and other applicable regulations.

08Limitation of Liability

To the maximum extent permitted by law:

• Neither party will be liable for any indirect, incidental, special, consequential, or exemplary loss or damages, including loss of profits, revenue, data, or business opportunities, arising out of or related to these Terms or the Services, even if advised of the possibility of such damages.
• These limitations do not apply to breaches of confidentiality, indemnification obligations, payment obligations, or either party’s gross negligence, willful misconduct, or fraud.

09Indemnification

You agree to indemnify and hold harmless FondosTech, its parent company, officers, subsidiaries, affiliates, successors, assigns, directors, agents, service providers, suppliers, and employees from any claim or demand, including reasonable attorney fees and court costs, made by any third party arising out of: (a) your breach of these Terms; (b) your use of the Services; (c) Customer Data or your violation of applicable data protection or insurance regulatory law; or (d) your violation of any rights of another party.

10Term and Termination

• FondosTech may suspend or terminate your access immediately, without prior notice, if you violate Section 2 (Using the Services), engage in unlawful conduct, or pose a security risk to the platform or other customers.
• Upon termination, your right to access the Services ceases, accrued but unpaid fees become immediately due, and Sections 4 (data export), 5, 6, 7, 8, 9, and 12 survive termination.

11General Provisions

• Force Majeure. Neither party is liable for delay or failure to perform (except payment obligations) due to causes beyond its reasonable control, including acts of God, natural disaster, war, labor disputes, or governmental action, provided prompt notice is given.
• Assignment. Neither party may assign these Terms without the other’s prior written consent, except to a successor in a merger, acquisition, or sale of substantially all assets.
• Relationship of the Parties. The parties are independent contractors; nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
• Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
• Entire Agreement. These Terms, together with the Privacy Policy and any applicable Order Form and DPA, constitute the entire agreement between the parties regarding the Services.
